Terms of Service
Welcome to UBi.
UBi is an AI nurse companion for people living with inflammatory bowel disease and related chronic gut conditions, built by UBiosis Inc. (“UBiosis,” “we,” “us,” or “our”). UBi works alongside your licensed gastroenterologist or primary care provider to monitor your data between visits, surface patterns in your symptoms, and help you and your care team make better decisions sooner.
The plain-English version: UBi is not a doctor and is not a replacement for one. UBi does not provide a medical diagnosis. UBi works under the supervision of your real, licensed clinician. If you have a medical emergency, call 911.
These Terms of Service (“Terms”) govern your access to and use of the UBi mobile app, our website at ubiosishealth.com, and any related services (collectively, the “Services”). By creating an account, signing in, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Who We Are
UBiosis Inc. is a Delaware corporation with principal offices at 2651 Kipling St, #2702, Houston, TX 77098. UBiosis builds and operates UBi. UBiosis is a technology company; UBiosis is not a licensed healthcare provider.
Any licensed clinical care you receive in connection with UBi is provided by the licensed physicians, nurse practitioners, and other clinicians (“Providers”) who are independently contracted with or referred through UBiosis. UBi facilitates the connection and the data flow; Providers are responsible for the medical care they render.
2. Not For Emergencies
UBi is not designed for emergency use. If you are experiencing chest pain, severe bleeding, suicidal thoughts, a bowel obstruction, severe dehydration, or any other condition that may be life-threatening, call 911 or go to the nearest emergency department immediately. Do not use UBi to communicate about an active emergency.
3. What UBi Does
UBi receives data you provide (meals, symptoms, stool logs, medication doses, wearable data, lab results, and conversations) and uses AI models, clinical decision-support engines, and a personalized care plan to:
- Score your meals against your individual tolerance history for IBD-friendliness
- Surface food and food-constituent patterns that correlate with your bowel scores, sleep, HRV, and activity
- Flag clinical drift early so your care team can intervene before it becomes a flare
- Coordinate with your licensed Provider through chart notes, follow-up scheduling, and escalation when warranted
- Provide voice and text conversations grounded in your actual data
UBi’s outputs are decision-support tools, not medical conclusions. Final clinical judgment always rests with your Provider.
4. Eligibility
You must be at least 18 years old to create an account, or 13 or older with a parent or legal guardian’s consent and supervision. You must be a U.S. resident located within a state where the Services are available. You must have the legal capacity to enter into these Terms.
5. Accounts and Security
You agree to provide accurate information when creating your account and to keep it current. You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us immediately at alex@ubiosis.ai if you believe your account has been compromised.
UBi supports phone-based passwordless sign-in and, for legacy users, email-and-password sign-in.
6. Subscriptions, Fees, and Billing
Some features of UBi are free. Some features are offered as a paid subscription billed monthly or annually, processed through Apple’s App Store or Google Play, or through UBiosis directly.
Subscriptions renew automatically until cancelled. You can cancel anytime in your App Store, Google Play, or UBiosis account settings. Cancellation takes effect at the end of the current billing period; we do not pro-rate refunds.
If your gastroenterologist’s practice has partnered with UBiosis, your access to the Services may be free or covered by a separate arrangement between UBiosis and the practice. In that case the subscription terms in this section may not apply.
Prices are subject to change. We will give you reasonable notice before any price increase takes effect on your subscription.
7. AI and Data Processors
UBi uses third-party AI models and data-processing services to deliver the Services. These currently include:
- OpenAI (large language model and speech models, for nutrition reasoning and voice chat)
- Amazon Web Services Cognito (patient identity and authentication)
- Auth0 (legacy email/password authentication)
- Google Cloud Platform (hosting, secret management, database)
- PostHog (privacy-respecting product analytics)
- Flexpa (insurance-mediated FHIR clinical record import, only if you opt in)
- LiveKit (real-time voice transport)
- RevenueCat (subscription management)
- Apple HealthKit and Google Health Connect (only data you authorize)
All processors are contractually bound to use your data only to deliver the Services to you. None of these processors are permitted to use your protected health information to train their general-purpose models.
We may add, remove, or replace processors over time. We will keep this list current. Material changes will be disclosed in-app or via email.
8. Your Health Data and HIPAA
UBiosis treats your protected health information (“PHI”) in accordance with the Health Insurance Portability and Accountability Act (“HIPAA”) and our separate Privacy Policy (available at ubiosishealth.com/privacy-policy).
Your PHI is encrypted in transit and at rest. We do not sell your PHI. We do not share your PHI with advertisers. We share your PHI with your care team, with subprocessors needed to deliver the Services (per Section 7), and as required by law.
You can request to access, correct, or delete your PHI by emailing alex@ubiosis.ai.
9. Personalization
UBi adapts how it talks to you and how it tracks you based on your data. This includes adjusting the cadence of check-ins to your clinical tier, learning your communication preferences, and refining its trigger map for you specifically. This personalization happens only within your account and is not used to improve service for other users.
10. Content and License
You retain ownership of the data you provide to UBi. You grant UBiosis a worldwide, non-exclusive, royalty-free license to use, process, store, and display your data solely to provide and improve the Services to you, and to comply with applicable law. We do not use your PHI to train third-party AI models for any purpose other than serving you.
UBiosis retains all rights to the UBi software, branding, content, and the models we have built. You may not reverse-engineer, decompile, copy, redistribute, or commercially exploit the Services.
11. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose
- Misrepresent your identity or health information in a way that affects clinical decisions
- Attempt to access another user’s account, data, or PHI
- Interfere with, disrupt, or attempt to compromise the security of the Services
- Use any robot, scraper, or automated tool to extract data from the Services
- Reproduce, sell, or relicense the Services or any portion of them
We may suspend or terminate your account if you violate these rules.
12. Third-Party Links and Care Team
The Services may link to or interoperate with third-party providers, insurance portals, FHIR endpoints, and care-team partner systems. UBiosis is not responsible for the content, accuracy, or practices of third parties.
13. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
UBI’S OUTPUTS ARE DECISION-SUPPORT INFORMATION ONLY. THEY DO NOT CONSTITUTE A MEDICAL DIAGNOSIS, PRESCRIPTION, OR TREATMENT RECOMMENDATION. ALWAYS CONSULT YOUR LICENSED HEALTHCARE PROVIDER FOR MEDICAL DECISIONS.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UBIOSIS, ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR PERSONAL INJURY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.
OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID UBIOSIS IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
15. Indemnification
You agree to indemnify and hold UBiosis and its Providers harmless from any claim, loss, or expense arising out of (i) your breach of these Terms, (ii) your misuse of the Services, or (iii) any health information you provide that is false or misleading and is relied on by a Provider in good faith.
16. Dispute Resolution; Arbitration; Class Action Waiver
Most disputes can be resolved by emailing alex@ubiosis.ai. If we cannot resolve a dispute informally within 60 days, you and UBiosis agree that all disputes will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, in Houston, Texas. You waive any right to participate in a class action against UBiosis.
You may opt out of this arbitration provision within 30 days of first accepting these Terms by emailing alex@ubiosis.ai with the subject line “Arbitration Opt-Out.”
Notwithstanding the above, either party may seek injunctive relief in court for intellectual property infringement.
17. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws provisions. Subject to Section 16, the state and federal courts located in Harris County, Texas have exclusive jurisdiction.
18. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified by email or in-app notice at least 14 days before they take effect. Continued use of the Services after changes go into effect means you accept them.
19. Termination
You may stop using the Services at any time. UBiosis may suspend or terminate your account for breach of these Terms, for security reasons, or if we discontinue the Services. Upon termination, your data will be handled per our Privacy Policy and HIPAA.
